David A. Marion

Practice Overview

Since his admission to the California Bar in 1966, David A. Marion’s practice has focused on general business counseling. He regularly assists clients in selecting, forming, and organizing the business entity appropriate for their ventures, and in structuring buy-sell agreements, financing agreements with investors or institutional lenders, employee compensation arrangements, licenses, leases, and other agreements incident to the venture’s operations.

Mr. Marion is an experienced corporate law practitioner.  Over the years his practice has emphasized corporate finance, state and federal securities regulation, mergers and acquisitions, representing issuers and underwriters in public offerings of securities, representing lenders and borrowers in negotiating credit agreements, and representing 1934 Act reporting companies.

Background

After a clerkship for Judge Walter Ely of the Ninth Circuit Court of Appeals, Mr. Marion practiced law with the Los Angeles firm O’Melveny & Myers.  Thereafter he served as Deputy County Counsel in Yuba County and, from 1975 through 1982, as Vice President, Secretary and General Counsel of Transcontinental Energy Corporation, an American Stock Exchange-listed company based in Shreveport, Louisiana.  He has practiced law in San Jose since 1982.

Mr. Marion is a member of the Louisiana State Bar (inactive).

Professional Activities

Mr. Marion previously served on the Partnerships and Limited Liability Companies Committee of the State Bar. Other State Bar service includes two terms on the Business Law Section Executive Committee (1990-1993, 1999-2002, Vice Chair 2001-2002) and two terms on the Corporations Committee (1985-1990, 1995-1999, Co-Chair 1998-1999).
