Stephen S. McCray

Practice Overview
Stephen S. McCray is a business lawyer who counsels companies and their owners on issues ranging from the formation of the business to financing and governance.  For example, he advises clients on the capitalization of new business ventures, private placements of common and preferred stock, and shareholder buy-sell arrangements.  McCray’s clients come from many industries, but his practice focuses on health care (e.g. medical clinics and professional medical groups), real estate (for example, mortgage bankers and mortgage brokers, real estate developers, and commercial landlords), and the media.

McCray has particular expertise and interest in providing services to nonprofit corporations.  His clients include some of the South Bay’s and Tri-Valley’s largest nonprofits including those involved in social services, the arts, and health care.  McCray is a frequent speaker to professional and community groups on nonprofit corporate governance, director and officer liability issues, and obtaining and maintaining an entity’s tax-exempt status.

Professional and Civic Activities

McCray is active in many professional and civic organizations.  He is the past chair of the San Jose Arts Commission and has served on the boards of directors
of many local organizations including FirstACT Silicon Valley, the Farrington Historical Foundation, Volunteer Exchange of Santa Clara County, and InnVision.  He is a past chair of the Santa Clara County Bar Association’s business law executive committee. 

McCray has been selected by his peers for inclusion in The Best Lawyers in America 2008 in the area of Corporate Law (c. 2007 by Woodward/White, Inc., Aikea, SC).

Additional Background

McCray previously was a journalist covering the Missouri legislature as a wire service reporter in Jefferson City, then working as a reporter and editor for a community newspaper group in Chicago.  He is a Navy veteran.
