Our Tax Group works closely with its own clients as well as the firm's transactional attorneys to provide creative solutions and structuring from inception through completion of a transaction, including corporate reorganizations that involve mergers and acquisitions, corporate purchases and sales, spin-offs and recapitalizations, financing, joint ventures, real estate acquisitions, partnerships, limited liability companies, qualified plans and executive compensation. Our attorneys have extensive experience assisting closely held family businesses, including counseling as to the available simple and sophisticated planning tools to efficiently accomplish personal and business objectives and also reduce gift and estate tax costs (including restructuring family business and investment holdings, creation of family limited partnerships and limited liability companies and sophisticated trust and sales techniques). Our Tax Group has expertise in forming and advising California non-profit entities, assisting with federal and state exemptions and advising on tax matters unique to non-profit entities, unrelated business income issues, California Attorney General's regulations, and merger and dissolution of exempt entities. We routinely work with our Estate Planning Group in creating and advising family foundations and charitable trusts as part of our clients' estate planning. If clients find themselves in a dispute with tax agencies, our Tax Group is experienced in handling federal and state income, gift and estate tax disputes, including audits, appeals proceedings and tax litigation before the U.S. Tax Court and District Courts. We also represent clients before administrative agencies of the State of California and local jurisdictions in property, sales tax and other state tax matters. |
